These Terms of Use (“Terms”) govern your access to and use of the websites, products, services, and tools provided by Molding Angel L.L.C. (“Molding Angel,” “we,” “us,” or “our”).
These Terms apply to:
- The Molding Angel L.L.C. website and any related domains or subdomains (the “Site”);
- The Molding Angel diagnostic engine and related tools (the “Molding Angel Product”);
- The Fleet Command Armada platform (“Fleet Command Armada”), whether currently available or marked as “Coming Soon” or “Beta”;
- Any AI-powered assistant or chat interface we provide (including “Angel,” the Molding Angel assistant) (collectively, the “Services”).
By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Site or Services.
1. Eligibility and Scope
1.1 Eligibility. You may use the Site and Services only if you are at least 18 years old and capable of forming a binding contract under applicable law.
1.2 Business Use. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to accept these Terms on behalf of such entity, and that entity agrees to be bound by these Terms.
1.3 Geographic Scope. The Services are controlled from within the United States. You are responsible for complying with all local laws where you access or use the Services.
2. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date at the top of this page and may provide additional notice as required by law. Your continued use of the Site or Services after changes become effective constitutes your acceptance of the revised Terms.
3. Use of the Site and Services
3.1 License to Use. Subject to these Terms, Molding Angel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your internal business or personal use.
3.2 Prohibited Conduct. You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of any law or regulation;
- Attempt to gain unauthorized access to any systems, networks, or data;
- Interfere with or disrupt the operation of the Site or Services;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying models, except to the limited extent allowed by applicable law;
- Use any robot, spider, scraper, or other automated means to access the Site or Services without our prior written permission;
- Use the Services to develop competing products or to benchmark in a misleading or deceptive way;
- Misrepresent your identity, or misrepresent your affiliation with any person or entity.
3.3 Beta and Experimental Features. Certain components of the Services, including but not limited to the Molding Angel assistant, Fleet Command Armada, or related tools, may be labeled as “Beta,” “Preview,” “Experimental,” or “Coming Soon.” Such features may be changed, suspended, or discontinued at any time and are provided “AS IS” without any guarantees.
4. Accounts and Access Control
At present, the Site may not require user accounts. If, in the future, user accounts are introduced:
- You will be responsible for safeguarding your login credentials;
- You agree to notify us promptly of any unauthorized use of your account;
- We reserve the right to suspend or terminate access for any breach of these Terms.
5. Intellectual Property
5.1 Ownership. The Site and Services, including all content, text, graphics, logos, icons, images, audiovisual content, software, models, architectures (including the AngelWalk™ diagnostic engine and AngelWalk Neural Network), and other materials, are owned by or licensed to Molding Angel L.L.C. and are protected by copyright, trademark, and other intellectual property laws.
5.2 Trademarks. “Molding Angel,” “Molding Angel L.L.C.,” “AngelWalk™,” “Fleet Command Armada,” and any related logos and marks are trademarks or service marks of Molding Angel L.L.C. or its licensors. You may not use these marks without our prior written consent.
5.3 Patent and Patent-Pending Rights. Certain systems and technologies underlying the Services, including diagnostic engines and neural network architectures, may be subject to U.S. and/or international patent or patent-pending rights. No license or right to practice any patent or patent-pending technology is granted except as expressly provided in these Terms or in a separate written agreement.
5.4 Feedback. If you provide suggestions, ideas, or feedback (“Feedback”), you grant Molding Angel a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.
6. License and Use Restrictions
6.1 Limited License to Outputs. Subject to these Terms and any applicable separate agreement, you may use the outputs generated by the Services (such as diagnostic suggestions, recommendations, or model outputs) for your internal business or personal use.
6.2 Restrictions on Outputs. You may not:
- Represent outputs as guaranteed, error-free, or a substitute for professional judgment;
- Use outputs in any safety-critical application where failure could result in death, personal injury, or significant property damage, without appropriate human review and risk mitigation;
- Misrepresent the origin of outputs as being created entirely by a human when they are generated or assisted by AI.
6.3 No Transfer of Ownership. These Terms do not transfer any ownership rights in the Site or Services to you. All rights not expressly granted are reserved by Molding Angel.
7. No Professional Advice; Diagnostic Limitations
7.1 No Professional Advice. The Services, including any diagnostic suggestions, questions, answers, or explanations provided by the Molding Angel assistant or other tools, are for informational purposes only. They do not constitute professional engineering, legal, financial, safety, or other regulated advice.
7.2 Manufacturing and Process Risk. Any actions you take based on the Services are at your sole risk. Manufacturing processes and LLM training workflows involve variables and risks that the Services may not fully account for. You remain solely responsible for:
- Verifying any recommendations;
- Running appropriate trials, validations, and testing;
- Ensuring compliance with quality standards, safety standards, and regulatory requirements.
7.3 No Guarantee of Results. Molding Angel does not guarantee improved part quality, reduced scrap, uptime, cycle time, or any specific performance outcome.
8. AI and Automated System Disclaimers
8.1 AI-Generated Content. Parts of the Services, including the “Angel” assistant and related tools, may use AI or machine learning models. These models can produce incorrect, misleading, or incomplete information and may reflect biases present in training data.
8.2 Human Oversight Required. You must not rely solely on AI-generated outputs. All recommendations should be evaluated by qualified personnel before implementation.
8.3 Use at Your Own Risk. You understand and agree that the use of AI features is entirely at your own risk, and that you are responsible for decisions made from, or influenced by, the outputs.
9. Fleet Command Armada and Distributed Compute
9.1 Experimental Nature. Fleet Command Armada, including any LLM trainer or multi-node coordination features, may be experimental and subject to change.
9.2 System and Data Responsibility. You are solely responsible for:
- Your hardware, nodes, and network configuration;
- Data you load into Fleet Command Armada;
- Ensuring that tasks run on your hardware do not violate any law, policy, or security requirement;
- Maintaining appropriate backups and fail-safes.
9.3 No Responsibility for Misconfigurations. Molding Angel is not responsible for damage, data loss, downtime, or other harm arising from misconfiguration, misuse, or errors in your system environment.
10. Third-Party Services and Links
The Site and Services may link to or integrate with third-party services, websites, or tools. Molding Angel does not control and is not responsible for third-party content or services. Your use of third-party services is governed by those third parties’ terms and policies.
11. Privacy
Your use of the Site and Services may involve the collection and processing of certain information. Any collection and use of personal information will be handled in accordance with our separate Privacy Policy (when published).
To the extent you provide us with information about your facility, processes, or operations, you represent that you have the right to share that information and that doing so does not violate any confidentiality, privacy, or data protection obligations.
12. Export and Compliance
You agree to comply with all applicable export control and sanctions laws and regulations of the United States and any other relevant jurisdictions. You may not use or access the Services if you are located in a jurisdiction where such use is prohibited by law or if you are on any government list of restricted or prohibited parties.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
MOLDING ANGEL SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOLDING ANGEL L.L.C., ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOLDING ANGEL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO MOLDING ANGEL (IF ANY) FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY TO THE FULL EXTENT SET FORTH ABOVE, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify, defend, and hold harmless Molding Angel L.L.C. and its owners, officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to:
- Your access to or use of the Site or Services;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your misuse of outputs or recommendations provided by the Services.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Site or Services shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising under or relating to these Terms or the Site or Services shall be brought exclusively in the state or federal courts located within the State of Tennessee, and you hereby consent to the personal jurisdiction and venue of such courts.
17. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we believe, in our sole discretion, that:
- You have violated these Terms;
- Your use poses a security or legal risk;
- We are required to do so by law; or
- We discontinue or materially modify any part of the Site or Services.
Upon termination, your right to access or use the Site and Services will immediately cease. Sections of these Terms that by their nature should survive termination (including, but not limited to, Intellectual Property, Disclaimers, Limitations of Liability, Indemnification, and Governing Law) shall survive.
18. Miscellaneous
18.1 Entire Agreement. These Terms constitute the entire agreement between you and Molding Angel regarding the Site and Services, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
18.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
18.4 Assignment. You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign or transfer these Terms.
18.5 Headings. Section headings are for convenience only and have no legal or contractual effect.
